  • Duration: This may or may not come up. But you can state the duration of the LLC is “perpetual”
  • Purpose: Provide a summary of the key operations and activities of your LLC. Additionally, certain states might ask for your company’s North American Industry Classification System (NAICS) code. This code can be located on the website of the U.S. Census Bureau.
  • Management: An LLC may be managed by members/owners or by separate managers.
  • Tax Treatment: In the case of establishing a single-member LLC, you may be queried by the state regarding your preference to consider your LLC as an independent entity, distinct from its owners, for the purpose of federal taxation.
  • Authorized Signature: You’ll need at least one owner of the LLC to sign and date the Articles of Organization
